Digital Product Licence
This licence sets out how you may use digital products (for example templates, design kits, graphics and code) that you buy from Exceptionalways (“we”, “us”). By downloading a product you agree to these terms. [CONFIRM: legal entity name, registered address and company number.]
1. What you receive
You receive a non-exclusive, non-transferable licence to use the product as described below for the licence type you bought. We, or the named creators, keep ownership and all intellectual property rights in the product.
2. Licence types
Personal
Use in one project for yourself, for non-commercial purposes. You may not use the product in anything you sell or that is used to earn income.
Commercial
Use in one end product for yourself or one client, including products that are sold or earn income, provided the product itself is not the main thing being sold. [CONFIRM: number of projects/clients allowed.]
Extended
Use in end products that are sold in quantity (for example a template-based product offered to many customers), subject to the restrictions below. [CONFIRM: scope and any sales/unit limits.]
3. What you may not do (all licence types)
- Resell, redistribute, share, sublicense or give away the product or its files, on their own or in a bundle, whether modified or not.
- Offer the product, or something substantially similar derived from it, as a template, kit or asset for others to use.
- Claim the product, or parts of it, as your own original work, or register it (or anything including it) as a trademark.
- Use the product in a way that is unlawful, defamatory, discriminatory or misleading.
4. Third-party components
Some products include fonts, images, icons or code owned by others under their own licences. Those components are covered by their own terms, which we list with the product where they apply. [CONFIRM: process for listing third-party licences per product.]
5. Downloads, updates and support
Download links are for your use only and may be limited in number or time. Updates, if any, are provided at our discretion. [CONFIRM: download limits, update policy and support channel.]
6. Refunds
Because digital products can be downloaded immediately, refunds are handled as set out in our Terms and in line with the consumer law that applies to you. [CONFIRM: refund policy — UK consumer rules on digital content and the rules in other markets you sell to must be reviewed.]
7. Ending the licence
If you break these terms, your licence ends and you must stop using the product and delete your copies. Sections 3 and 4 continue to apply.
8. Liability
Products are provided “as is”. To the extent the law allows, we are not liable for indirect or consequential loss arising from their use. Nothing in this licence limits liability that cannot legally be limited, or your statutory rights as a consumer. [CONFIRM with legal adviser.]
9. Law
[CONFIRM: governing law and courts — for example England and Wales — and any provisions needed for customers in Nigeria or other markets.]
